  1. ΩτW(1) τW(2), hereinafter referred to as the "Customer," 
  2. and τW(3), hereinafter referred to as the "Contractor, 
  3. intending to be legally bound, hereby agree as follows:φ

  5. Contractor shall perform the following for the Customer:φ
  6.

  8. Contractor shall be paid the sum of $α(8) by 
  9. Customer as and for said services described herein.

  12. The sum shall be broken down and paid τA(9) as per payment 
  13. schedule outline - see attached Exhibit A.φß

  15. Contractor shall, at all times, use his or her own tools 
  16. and employees to complete the terms of this Agreement. 
  17. Contractor shall not be supervised by Customer but shall 
  18. proceed to accomplish the services hereunder in whatsoever 
  19. manner deemed appropriate within the scope of this Agreement.φ
  20.  
  21. Customer is aware that Contractor may have other Customers and 
  22. jobs that he or she is working on simultaneously with this job.φ

  25. Contractor agrees to use best efforts to provide the services 
  26. specified hereunder according to the specifications presented by 
  27. Customer, which are attached hereto as an Exhibit and made a part 
  28. hereof.φß

  30. In consideration of the mutual Agreements and 
  31. promises made herein, it is agreed that any and all work, 
  32. creation or service that is the product of this Agreement 
  33. shall belong wholly to Customer, and Contractor shall 
  34. have no claim towards it, whatsoever.φ
  35.  
  36. In no event shall this Agreement constitute an 
  37. employment Agreement, and Contractor shall be considered 
  38. only as an independent Contractor and not as an employee, 
  39. agent, partner, or joint venturer of Customer.φ
  40.  
  41. Contractor shall be solely responsible for any and 
  42. all taxes (Federal, State/Provincial and/or local); worker's 
  43. compensation insurance; disability payments; social 
  44. security payments; unemployment insurance payments; 
  45. insurance; or any similar type of payment for Contractor 
  46. or any employee thereof; and shall hold Customer harmless 
  47. from any and all such payments.φ

  50. Additionally, Contractor shall purchase and maintain 
  51. insurance in the kind and amount specified by Customer 
  52. and/or Local or State/Provincial regulations and shall furnish 
  53. Customer with a certificate thereof. φß

  56. In the event that litigation is commenced to enforce 
  57. any of the terms of this Agreement, the prevailing party 
  58. in the litigation (whether by court or arbitration) shall 
  59. be entitled to the costs thereof, including reasonable 
  60. legal fees.φß

  62. This Agreement shall be interpreted pursuant to the laws of the County of 
  63. τW(14).φ
